1. ONLINE STORE TERMS
By agreeing to these Terms of Service, you represent that you are of legal age and competent majority to access this site and enter in a binding contract with Guddi’s Frames of Arts, if placing an order, in your state or province of residence, under the Provisions of the Indian Contract Act, 1872. It may also be the case that you are the age of majority in your state or province of residence, and you have given us your consent to allow any of your agents of minor dependents to use this site. You may not use our products for any illegal or unauthorized purpose nor may you, in the use of the Service, violate any laws in your jurisdiction (including but not limited to copyright laws). PRODUCTS AND SERVICES
Through the site we offer a variety of Products and Services. We do not warrant that the quality of any products, services, information, or other material purchased or obtained by you will meet your expectations, or that any errors in the Service will be corrected. We reserve the right to limit the quantities of any products or services that we offer. All descriptions of products or product pricing are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time. We shall not be liable to you or to any third-party for any product modification, suspension or discontinuance or price change for our Products and Services.We reserve the right, but are not obligated, to limit the sales of our Products or Services to any person, geographic region, or jurisdiction. We may exercise this right on a case-by-case basis. We make efforts to display our product finishes and colours as accurately as possible. Having said that, the product colour and, finish and, or appearance may vary in different screens and devices. Therefore, we cannot guarantee that the Product will exactly resemble the colour and finish that appears on your screen.
Products or services that may be available through the Site are subject to exchange and, or return and refund only according to our Exchanges, Returns, and Return Policy.
4. ORDER POLICY
Your placement of an Order through Our Site is an offer to purchase Product(s) and, or Service(s). The Order will only be deemed accepted when the Product(s) is/are shipped out for delivery to you. Your Order confirmation, Email Acknowledgement or Payment Receipt does not signify our acceptance of your Order. We reserve the right to decline your Order for any reason including non-availability of product(s). We may, in our sole discretion, limit or cancel quantities purchased. An Order shall be deemed delivered and accepted by you once it has been shipped and reached the delivery address specified, regardless of whether it has been received by you. You can place an Order on the Site for a specific or multiple Product(s). Upon sharing your payment information with us, we will process your payment at the time you place your Order. If we or our partners cannot fulfil any order, or refuse to accept it, we will attempt to notify you by contacting the e-mail/billing address and, or phone number provided at the time the order was placed, or that you shared when creating a User Account, or both, and that order shall stand cancelled. If a particular Order is not accepted after payment has been received by Guddi’s Frames of Arts for that Order, your payment shall be refunded to you, within 7 working days, less any payment gateway fees. We will also obtain your prior consent in case we need to modify your Order for any reason. We reserve the right to limit or prohibit orders that, in our sole judgment, appear to be placed by resellers.5. PAYMENT PROCESSOR
To pay for an Order, you will need to provide information necessary to process an Order from you, including your personal information, shipping address and billing information. Guddi’s Frames of Arts uses RazorPay as a payment gateway processing partner.You can learn more about RazorPay, its policies, terms and conditions and all payment processing details via their site at https://www.razorpay.com.
You may pay for your Order via credit card, debit card or any other payment mechanism accepted by RazorPay. By submitting your payment information to Razorpay and us, you authorize any charge(s) for applicable payments. You represent that you will not use any credit card, debit card or other form of payment unless you have all necessary authorization and legal competency to do so. You understand that your payment information may be transferred and involve transmissions over various networks and third parties. Your payment information will be encrypted during transfer over such networks as best possible.
By making a payment using RazorPay via the Guddi’s Frames of Art’s site, you implicitly and explicitly agree to the Terms & Conditions of Use of RazorPay as well.
6. SHIPPING & DELIVERY
At present, we ship to select addresses in India. For shipping, we use Delhivery. You can read about Delhivery’s terms and conditions and shipping policy details and track your order at their site at https://www.delhivery.com. Usually, the standard shipping time for the Products is 3-5 business days. Please note that Guddi’s Frames of Arts shall not be responsible for any loss, damage, or delay caused to the Product in the process of shipping.By placing an order at Guddi’s Frames of Art’s site, you implicitly and explicitly agree to the Terms & Conditions of Use of Delhivery as well.
7. DIGITAL IMAGE UPLOADS
When using the Site, you may choose to upload a digital copy of an image, photograph, picture, artwork, or other document or material (“User Submitted Materials”). We may use these images to demonstrate how your User Submitted Materials would appear in Our Products or Services.When you upload a Digital Image, you acknowledge that you have the necessary permissions, rights, licenses, and or ownership claims, to upload the image. By uploading the image, you agree to grant to Guddi’s Frames of Arts a limited non-exclusive, royalty-free right and license, to use, reproduce, distribute, create derivative works of and publicly display any materials submitted by you on the Site, including, but not limited to any artwork, digital copy, images, text, graphics, and all other materials, in order to enable you to use our Services to create, view, and purchase Products. You represent and warrant that you own or possess all necessary rights with respect to User Submitted Materials, and that they do not infringe, misappropriate, use, or disclose without authorization, or otherwise violate any copyright, trade secret right or intellectual property. The User Submitted Materials must not be unlawful, fraudulent, threatening, abusive, libellous, defamatory, obscene, or otherwise objectionable. You warrant that the holder of any worldwide intellectual property right, including moral rights, in your User Submitted Materials, has completely and effectively waived all such rights and validly and irrevocably granted to you the right to grant the license stated above. You represent and warrant that you have obtained the consent, release, and/or permission of every identifiable individual who appears in the User Submitted Materials including that of the parent or guardian of the individual, if any such person is not competent to consent.
8. USE OF IMAGES
Guddi’s Frames of Arts or its affiliates may use photographs and other reproductions of Products, including User Submitted Materials for marketing, publicity, or any other reasonable purpose. We shall not be required to seek your consent prior to such use. Guddi’s Frames of Arts, its affiliates and partners will have a worldwide, non-exclusive, transferable, royalty-free, perpetual irrevocable right and license, with right to use, reproduce, distribute, create derivative works of and publicly display the same in all media.9. INTELLECTUAL PROPERTY
Certain names, logos, and other materials displayed on the Site constitute trademarks, trade names, service marks or logos (“Marks”) of Guddi’s Frames of Arts or other entities. You are not authorized to use any such Marks. Ownership of all such Marks and the goodwill associated therewith remains with us or the lawful owners.10. OPTIONAL TOOLS
We may provide you with access to tools and/or third-party tools and platforms including RazorPay & Delhivery, over which we neither monitor nor have any control nor input. You acknowledge and agree that we provide access to such tools “asis” and “as available” without any warranties, representations, or conditions of any kind and without any endorsement. We shall have no liability whatsoever arising from or relating to your use of optional third-party tools.Any use by you of optional, and/or third-party tools offered through the site is entirely at your own risk and discretion and you should ensure that you are familiar with and approve of the terms on which tools are provided by the relevant third-party provider(s).
We may also, in the future, offer new tools, or features, functionality, resources, and services through the site. All of these shall also be subject to these Terms of Service.
